Falcon Solution:
In 2005, two private equity investors had been invested in ATC for a number of years without a liquidity event and were seeking to effect a dividend recapitalization. Falcon structured a senior subordinated note and senior holding company note with warrant financing solution to provide partial liquidity to the sponsors.
